Governance Overview

At Basisbank, we believe that sound corporate governance is a foundation of long-term value creation. Our governance framework is aligned with the Corporate Governance Code for Commercial Banks adopted by the National Bank of Georgia and reflects international best practices. It is designed to ensure effective oversight, strategic alignment, risk management, and transparent decision-making across all levels of the organization. By maintaining clear roles and responsibilities, we foster accountability, safeguard stakeholder interests, and support sustainable business growth.

Governance Structure

Our governance framework ensures strategic oversight and accountability across all levels. It defines the responsibilities of the Management Board in steering the Bank’s vision and strategic direction while fostering strong and transparent relationships with shareholders. We have established a comprehensive system of governance policies to ensure that our objectives are met with sound oversight and control mechanisms in place.

We operate under a three-tier governance model: the Shareholders, the Supervisory Board, and the Management Board, each with distinct roles and responsibilities.
